This agreement governs all services performed by Cooper Cleaning LLC including House Washing, Pressure Washing, Roof Cleaning, Gutter Cleaning, Gutter Brightening, and Window Cleaning. By scheduling or accepting service, you agree to these terms.
This Service Agreement ("Agreement") is entered into between Cooper Cleaning LLC ("Company," "we," "us," or "our"), a licensed and insured exterior cleaning company operating in Central Indiana, and the customer who has requested or scheduled services ("Customer," "you," or "your"). This Agreement governs all exterior cleaning services provided by Cooper Cleaning LLC, including but not limited to: House Washing, Pressure Washing, Roof Cleaning, Gutter Cleaning, Gutter Brightening, and Window Cleaning.
All quotes are provided free of charge and are based on aerial imagery, satellite measurements, and information provided by the Customer. Quotes are estimates only. Final pricing may be adjusted upon on-site inspection if property conditions differ materially from what was represented (e.g., heavily soiled surfaces, additional square footage, multiple stories, hazardous access conditions). The Company will notify the Customer of any pricing adjustments prior to beginning work. If the Customer does not accept the revised price, no service will be performed and no charge will be assessed. Quoted prices are valid for 30 days from the date of issue.
Appointments must be cancelled or rescheduled with at least 48 hours' advance notice. Cancellations made with less than 48 hours' notice may be subject to a cancellation fee of $150. The Company reserves the right to reschedule services at any time due to inclement weather, unsafe conditions, equipment failure, or other circumstances beyond our control. In such cases, we will contact the Customer as soon as practicable and reschedule at the next available opening at no additional charge.
The Customer agrees to: (a) provide safe, unobstructed access to all areas of the property requiring service; (b) ensure a functioning outdoor water spigot is available and accessible on the day of service; (c) close all windows, doors, and vents prior to service; (d) remove or secure outdoor furniture, decorations, potted plants, vehicles, and any personal items that could be damaged by water or cleaning agents; (e) inform the Company of any known property conditions, fragile materials, recent repairs, or sensitivities (e.g., fresh paint, deteriorated caulking, aging siding). The Company shall not be liable for damage arising from the Customer's failure to adequately prepare the property.
House washing is performed using a low-pressure soft wash system with professional-grade, biodegradable cleaning solutions. The service is designed to safely remove mold, mildew, algae, dirt, and organic staining from exterior siding surfaces. Soft washing is appropriate for vinyl, wood, fiber cement (HardiePlank), brick, stucco, EIFS, and painted surfaces. The Customer acknowledges that soft washing involves the application of water and chemical solutions to the exterior of the home. The Company is not responsible for pre-existing paint failure, peeling caulk, improperly sealed windows or doors, or damage to surfaces with pre-existing deterioration. The Customer is responsible for ensuring all windows and doors are fully closed and sealed prior to service.
Pressure washing services are performed on hard surfaces including concrete driveways, sidewalks, patios, decks, retaining walls, and similar surfaces. High-pressure water is used and may cause damage to surfaces that are cracked, spalling, unsealed, or otherwise deteriorated. The Customer is responsible for identifying and disclosing any such conditions prior to service. The Company will perform a visual inspection prior to beginning work and reserves the right to decline or modify service if surface conditions present a risk of damage. Results on oil stains, rust, deep etching, or long-set organic growth may vary and are not guaranteed to be fully eliminated in a single service.
Roof cleaning is performed using a soft wash (low-pressure) application method recommended by the Asphalt Roofing Manufacturers Association (ARMA). No high-pressure washing is used on roofing shingles. The Company's soft wash treatment kills and removes algae (Gloeocapsa magma), mold, mildew, moss, and lichen from asphalt shingle, metal, tile, and flat roofing systems. Results may vary depending on severity of growth and roof age. The Customer acknowledges that: (a) some staining may require multiple treatments; (b) walking on the roof carries inherent risk and the Company uses appropriate safety equipment; (c) existing damage to shingles, flashing, gutters, or fascia is not caused by our cleaning process. Any pre-existing damage observed will be noted prior to commencement of service. The Company is not responsible for leaks or water intrusion resulting from pre-existing roofing deficiencies.
Gutter cleaning includes the removal of leaves, debris, sediment, and organic buildup from all accessible gutters and downspouts on the property. All downspouts will be flushed to confirm clear flow. Debris is bagged and removed from the property at no additional charge. The Company does not perform structural repairs to gutters, fascia, or downspouts. If significant damage or sagging is observed during service, the Customer will be notified. The Company is not liable for gutter damage resulting from pre-existing structural issues, improper installation, or deteriorated hangers and fasteners. If a downspout is found to be blocked due to underground drainage issues or blockages beyond the gutter system, the Customer will be notified, and additional service may be required.
Gutter brightening is the removal of black oxidation streaks ("tiger stripes") and environmental staining from the exterior face of gutters using professional-grade chemical brightening agents. This is a surface treatment applied to the outer face of the gutter only — it does not affect the interior or structural integrity of the gutter system. Results may vary depending on gutter material, age, severity of oxidation, and prior exposure. On very old or heavily oxidized aluminum gutters, full removal of staining may not be achievable in a single treatment. The Customer acknowledges that gutter brightening chemicals may cause temporary discoloration of adjacent surfaces (siding, fascia) and the Company will take precautions to minimize overspray. Pre-existing gutter damage, dents, or fading will not be corrected by the brightening process.
Window cleaning services include exterior cleaning of all accessible windows and, where specified in the quote, interior cleaning. Each pane is hand-cleaned and squeegeed to a streak-free finish. Window screens are removed, cleaned, and reinstalled upon request. Frame, track, and sill detailing is included. The Customer acknowledges that: (a) hard water mineral deposits, paint overspray, oxidation buildup, or construction debris may require additional treatments not covered in a standard cleaning; (b) windows with failed seals (fogging between double-pane glass) cannot be corrected by cleaning; (c) the Company is not responsible for damage to windows or screens with pre-existing cracks, chips, deteriorated seals, or fragile frames. Interior cleaning requires someone to be present at the property to provide access. The Company is not liable for items near windows that are damaged due to normal cleaning activity if the Customer has not cleared the area.
The Customer acknowledges and agrees that Cooper Cleaning LLC is not responsible for any damage to property that results from pre-existing conditions, including but not limited to: cracked or failing caulk, peeling or aging paint, unsealed surfaces, improperly installed materials, wood rot, deteriorated siding, failing window seals, fragile masonry, or loose fixtures. The Company will perform a reasonable visual inspection prior to service and will notify the Customer of any obvious pre-existing concerns. However, the Company is not a licensed contractor and cannot be held responsible for latent conditions not visible to the naked eye at the time of service.
In the unlikely event of damage caused directly by the Company's negligence, the Customer must notify Cooper Cleaning LLC in writing (via call or text to (765) 730-5641) within 48 hours of service completion. Failure to report within this window may waive the Customer's right to a claim. All damage claims will be reviewed in good faith. Cooper Cleaning LLC carries full general liability insurance and will cooperate fully with any legitimate claim process. The Company's total liability for any single claim shall not exceed the amount paid for the specific service in question, except where greater liability is required by law.
Cooper Cleaning LLC stands behind all services with a 100% satisfaction guarantee. If the Customer is not satisfied with the results of a completed service, they must contact us within 48 hours of completion. We will schedule a return visit at no additional charge to address the specific areas of concern. This guarantee does not apply to results limited by pre-existing property conditions, surfaces beyond reasonable treatment, Customer-provided instructions that conflicted with our professional recommendations, or circumstances outside the Company's control (weather, surface limitations, etc.).
Payment is due upon completion of services unless otherwise agreed to in writing. The Company accepts cash, check, and all major credit cards. Returned or NSF checks are subject to a $35 returned check fee. Invoices not paid within 14 days of service completion are subject to a late fee of 1.5% per month on the outstanding balance. Accounts more than 30 days past due may be referred to collections. The Customer agrees to reimburse the Company for any reasonable attorney's fees or collection costs incurred in recovering unpaid balances.
Exterior cleaning services require suitable weather conditions. The Company will not perform services in rain, freezing temperatures, high winds, or other conditions deemed unsafe. If weather causes a cancellation on the day of service, the Customer will be notified as soon as possible and rescheduled at the earliest available appointment. Weather-related cancellations initiated by the Company carry no cancellation fee. The Customer may reschedule due to weather without penalty provided they notify the Company before service personnel have departed for the job site.
In the unlikely event that Company personnel are injured while performing services on the Customer's property, the Customer is not responsible for such injuries solely because they occurred on the property, except where the injury results from: (a) a hazard or dangerous condition known to the Customer that was not disclosed to the Company prior to service; (b) the negligent or intentional act of the Customer, household members, guests, or animals at the property; or (c) the Customer's material misrepresentation of property conditions. The Company is responsible for the safety, training, and conduct of its own personnel and assumes the risks inherent in performing exterior cleaning work.
The Company reserves the right to refuse or stop any service at any time if: (a) conditions at the property are deemed unsafe for workers (aggressive animals, unstable surfaces, hostile environment); (b) the Customer or a person at the property is behaving in a threatening or abusive manner toward Company personnel; (c) conditions at the property materially differ from what was represented at the time of quoting. In such cases, no charge will be assessed for incomplete work, or a partial charge will be applied proportionate to work completed.
The Company is not responsible for damage to vehicles, landscaping, outdoor furniture, personal belongings, or other property that was not moved or secured prior to service. It is the Customer's responsibility to protect personal property in and around service areas. The Company will take reasonable precautions to avoid damage to surrounding areas but cannot guarantee that all surfaces, plants, or materials adjacent to the work area will be unaffected by water, overspray, or cleaning agents.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COOPER CLEANING LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM. IN NO EVENT SHALL COOPER CLEANING LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF USE, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Customer agrees to indemnify, defend, and hold harmless Cooper Cleaning LLC, its owners, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or related to: (a) the Customer's breach of this Agreement; (b) the Customer's failure to adequately prepare the property or disclose material property conditions; (c) pre-existing property defects or conditions; or (d) the Customer's instructions that deviated from the Company's professional recommendations. This indemnification does not apply to claims of personal injury to Company personnel, which are governed by Section 16 (Injuries on the Property).
This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict of law principles. Any dispute arising under this Agreement that cannot be resolved informally shall first be submitted to non-binding mediation in Delaware County, Indiana before pursuing litigation. The prevailing party in any legal proceeding shall be entitled to recover reasonable attorney's fees and court costs.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, representations, and agreements. This Agreement may be modified only by a written amendment signed by both parties. Verbal modifications are not binding. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
By scheduling or accepting services from Cooper Cleaning LLC, the Customer grants Cooper Cleaning LLC an irrevocable, perpetual, royalty-free license to photograph and/or video record the property, the work performed, and the results of that work. The Customer consents to Cooper Cleaning LLC's use of any such photos or videos for any purpose whatsoever, including but not limited to: marketing materials, social media, websites, advertising campaigns, before-and-after showcases, and promotional content, without any compensation or further notice to the Customer. No personally identifying information (such as your full address or name) will be published without your explicit consent.
By scheduling, permitting, or accepting services from Cooper Cleaning LLC — whether verbally, in writing, via online form, or by allowing service to commence on your property — the Customer acknowledges that they have read, understood, and agree to be bound by the terms of this Service Agreement. No signature is required for this Agreement to be effective.
